As your business grows and changes, the information you provided in your initial formation documents—your Articles of Organization (for an LLC) or Articles of Incorporation (for a Corporation)—may become outdated. When you need to make a significant, official change to this public record, you must file an amendment with the state.

What is an amendment and when is it required?

An amendment is a formal legal document filed with the state to officially change or update specific provisions in your company's formation documents. Think of your formation articles as your company's birth certificate; an amendment is the legal process for updating that certificate when a fundamental detail changes.

You are generally required to file an amendment for major changes to your company's core structure or identity. Common reasons include:

  • Changing Your Legal Business Name: If you decide to rebrand or otherwise change the legal name of your LLC or Corporation, you must file an amendment to make the new name official with the state.

  • Changing Your Business Purpose: If your company's primary business activities pivot significantly from what was described in your original articles.

  • Changing Your Management Structure (LLCs): If your LLC decides to switch from being member-managed to manager-managed, or vice versa, this structural change must be reported to the state.

  • Changing Authorized Shares (Corporations): If your corporation needs to issue more shares of stock than was originally authorized in your Articles of Incorporation, you must file an amendment to increase the number of authorized shares.

How to order the amendment filing service

  3. Click on the Filing services tab in the sub-menu.

  4. Find the Amendment service in the list and click the Order button.

  6. Complete the form and proceed to payment to finalize your order.
